1. Acceptance of Terms

By accessing or using Fytch ("the Service"), operated by Fytch ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and we will notify you of any material changes via email or through the Service.

2. Description of Service

Fytch is a B2B SaaS platform that helps Shopify merchants automate supplier synchronization. The Service enables users to connect supplier data sources (including FTP, SFTP, APIs, and manual uploads) to their Shopify stores for automated product, inventory, and order management. The Service integrates with third-party platforms including Shopify, and functionality may depend on the availability of these platforms.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that the information you provide is accurate and up to date

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or the organization you represent.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with the proper functioning of the Service
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to store or transmit content that infringes intellectual property rights

5. Shopify Integration

The Service integrates with Shopify through their Admin API. By connecting your Shopify store, you authorize Fytch to access and modify store data (including products, inventory, and orders) as necessary to provide the Service. You are responsible for ensuring you have the necessary permissions to grant this access, and you acknowledge that Shopify's own terms of service also apply to your use of their platform.

6. Data and Content

You retain ownership of all data you upload to or create through the Service ("Your Data"). By using the Service, you grant us a limited license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not sell your data to third parties.

You are responsible for maintaining backups of Your Data. While we take reasonable measures to protect your data, we are not responsible for any loss or corruption of data.

7. Subscription and Billing

Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge your payment method for the applicable fees. Subscriptions automatically renew unless cancelled before the end of the current billing period. Refunds are handled on a case-by-case basis at our discretion.

8. Service Availability

We strive to maintain high availability of the Service, but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

9. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Fytch and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or branding. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Fytch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, but is not limited to, loss of revenue, data, or business opportunities. Our total liability for any claim arising from these terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Fytch, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

12. Termination

You may terminate your account at any time through the Service settings. We may suspend or terminate your access if you violate these terms or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
